THE PROPOSAL OF THE APPOINTMENTS AND COMPENSATION COMMITTEE FOR THE COMPOSITION
AND REMUNERATION OF STOCKMANN’S BOARD OF DIRECTORS
The Appointments and Compensation Committee of Stockmann plc’s Board of
Directors has in its meeting decided to propose to the Annual General Meeting,
which will be held on 16 March 2010, the following:
To seats on the Board be elected eight members, instead of the present number
seven.
The Committee proposes that the remuneration to the Board of Directors be
unchanged and be still paid in the form of the company’s shares. Consequently,
the fixed emoluments be EUR 76,000 per year to the Chairman, EUR 49,000 per year
to the Vice Chairman and EUR 38,000 per year to the Board members. In addition,
a meeting fee of EUR 500 be paid per meeting. The meeting fee is paid for the
meetings of the Committee as well.
The Appointments and Compensation Committee proposes to the Annual General
Meeting that the present Board members, Christoffer Taxell, LL.M., Erkki Etola,
managing director, Kaj-Gustaf Bergh, managing director, Eva Liljeblom,
professor, Kari Niemistö, managing director, Carola Teir-Lehtinen, director of
sustainable development, and Henry Wiklund, M.Sc. (Econ.), be re-elected, having
given their consent, to a period of office up to the end of the next Annual
General Meeting. The Committee further proposes that as a new member of the
Board, for the same period of office, be elected, having given her consent,
Charlotta Tallqvist-Cederberg, M.Sc. (Econ.).
At its organization meeting, the Board of Directors will elect amongst its
number the Chairman, the Vice Chairman and the members of the Appointments and
Compensation Committee.
