STOCKMANN TO SELL TREASURY SHARES
Based on the authorisation issued by the Annual General Meeting held on 20
March 2007, Stockmann’s Board of Directors decided today to transfer
treasury shares under the following conditions:
1. The maximum amount shares to be transferred is 336,528 Series B shares;
2. The shares will be transferred in public trading arranged by NASDAQ OMX
Helsinki Oy by one or more contractual trades to investors procured by a
securities intermediary;
3. The share price will be the market price of the company’s shares, which
will be determined on the basis of the shares’ quotation in public trading
and the offers procured by the securities intermediary; and
4. The shares will be paid in accordance with the rules applicable to the
clearing and settlement of stock exchange transactions.
The purchase price received for the shares will be credited to the paid-up
unrestricted equity reserve. The shares are being transferred as a part of
the capital releasing programme which has been disclosed earlier.
Therefore, there is a weighty financial reason for the company to transfer
the shares in deviation from the shareholders’ pre-emptive subscription
right.
